# Jurisdictional Framework

HyperSPAC3 will be registered as a **Decentralized Autonomous Organization (DAO) LLC** in a **crypto-friendly jurisdiction**. The choice of jurisdiction is critical to ensuring legal compliance, operational flexibility, and credibility with investors and stakeholders.

**Crypto-Friendly Jurisdiction**

After consulting with legal advisors, the following jurisdictions are under consideration:

* **Wyoming, USA**: Known for its **progressive blockchain legislation**, including the legal recognition of DAOs as LLCs.
* **Cayman Islands**: Offers a **favorable regulatory framework** for crypto projects and access to international markets.
* **Panama**: Emerging as a **crypto-friendly jurisdiction**, with tax benefits and a territorial tax system.

**Key Considerations for Jurisdiction Selection**:
